Note: These Terms apply to use of this Site only. Any professional services we provide to clients are governed by separate written agreements (e.g., MSA, SOW, DPA) and not by these Terms.

• You have the legal authority to enter into these Terms on your own behalf or on behalf of the organization you represent.

Subject to these Terms, CapSigma grants you a limited, non-exclusive, non-transferable, and revocable license to:

• Access and use the Site for informational and internal business purposes;
• View, download, or print materials that we make available for download (such as capability overviews or thought leadership content) solely for your internal evaluation of our services.

• Use the Site for any unlawful, fraudulent, or malicious purpose;

• You are responsible for the Submissions you provide and must ensure they are accurate and lawful to share.
• You grant CapSigma a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and otherwise act on such Submissions as reasonably necessary to:
  • Respond to your inquiries,
  • Evaluate potential business opportunities, and

If you provide suggestions, feedback, or ideas about the Site or our services (“Feedback”), you agree that:

• We may use such Feedback without restriction or compensation to you;
• We have no obligation to implement any Feedback.

To the extent any liability cannot be excluded, CapSigma’s total aggregate liability arising out of or related to your use of the Site will be limited to USD $100 (or the minimum amount permitted by applicable law, if higher).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless CapSigma and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

11. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or your use of the Site will be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles.

You agree that:

• Any legal action or proceeding arising under or in connection with these Terms or the Site will be brought exclusively in the state or federal courts located in Harris County, Texas; and
• You submit to the personal jurisdiction of such courts and waive any objection to venue or forum.

If you serve clients primarily in another jurisdiction (e.g., New York), your lawyer may adjust this section accordingly.

12. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page.

• If changes are material, we may provide additional notice (for example, via a banner on the Site).
• Your continued use of the Site after the updated Terms are posted means you accept the changes.

If you do not agree to the updated Terms, you should stop using the Site.
